1. Acceptance of Terms

By accessing or using the MAE Real Estate property management platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms apply to all users, including tenants, property managers, and property owners.

2. Description of Service

ELA Solutions, a DBA of Alpinieri Enterprises Inc. (“ELA Solutions,” “we,” or “us”), provides a property management software platform used by MAE Real Estate. Alpinieri Enterprises Inc. is the sole owner of the software, and MAE Real Estate uses the Service under license. The Service includes web-based access, and SMS notification capabilities.

3. User Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. SMS Communications Consent

By providing your mobile phone number and opting in through the Service, lease onboarding, or other explicit consent mechanisms, you expressly consent to receive SMS messages from ELA Solutions. You understand and agree that:

  • SMS messages may include rent payment notifications, property announcements, maintenance updates, and account alerts.
  • Message frequency varies based on account activity and property management needs.
  • Message and data rates may apply depending on your mobile carrier plan.
  • You may opt out at any time by replying STOP to any message or contacting your property manager.
  • Opting out of SMS may affect your ability to receive time-sensitive property notifications.
  • We do not share or sell SMS consent or phone numbers to third parties for marketing purposes.
  • The messages are transactional and informational, not marketing messages.
  • Contact your property manager for help with software.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Upload or transmit viruses or malicious code
  • Harass, abuse, or harm other users
  • Use the Service to send spam or unsolicited communications
  • Your use of the Service is also governed by our Privacy Policy.

6. Rent Payments

The Service may facilitate rent payments between tenants and property managers/owners. ELA Solutions is not responsible for payment disputes between parties. All payment terms, amounts, and due dates are determined by the lease agreement between tenant and landlord. We do not guarantee the availability or functionality of third-party payment processors.

7. Maintenance Requests

The Service allows tenants to submit maintenance requests. All maintenance obligations remain between tenants and their property managers/landlords MAE as defined in their lease agreements.

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are owned by ELA Solutions and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Alpinieri Enterprises, through their DBA, ELA Solutions, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. CARRIERS ARE NOT LIABLE FOR DELAYED OR UNDELIVERED MESSAGES

11. Indemnification

You agree to indemnify and hold harmless Alpinieri Enterprises, through its DBA, ELA Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time without notice. We may also update these Terms from time to time. Continued use of the Service after any changes constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in California.
